You (referred to below as the “Customer” or “You” or “Your”) agree that any Service (as defined below) offered and provided by AlphaDog Hosting (referred to below as “AlphaDog Hosting” or “Our” or “Us” or “We”) and purchased by You through AlphaDog Hosting’s web-sites at www.alphadoghosting.com or my.alphadoghosting.com (collectively referred to below as the “Sites”) are purchased and to be used by You and provided by AlphaDog Hosting subject to the terms and conditions set out below and in Our:

Affiliate Agreement

(collectively referred to herein as the “Terms of Service”). Any use of AlphaDog Hosting’s products or services, directly or indirectly, including through a reseller or affiliate, shall constitute acceptance of these Terms of Service.

Order Placement, Verification, and Service Provisioning Information:
AlphaDog Hosting undertakes to provide the Services as per your purchase (referred to hereafter as the “Ordered Services”) upon our acceptance of the order(s) placed by you on Our Site (hereafter referred to as the “Order”), and upon receipt by AlphaDog Hosting, or Our agents, of the applicable initial payment (referred to hereafter as the “Acceptance Date”). AlphaDog Hosting reserves the right to conduct fraud checks on received Orders, using one or more third-party anti-fraud verification systems. We also reserve the right to place an Order on hold (and not provide the requested Services) pending further notice or to cancel it altogether if we or Our agents determine or suspect the Order to be illegitimate or fraudulent. We may contact you via the registered email address you have on file with Us for further verification and clarification. Additionally, in certain Order approval cases, AlphaDog Hosting or Our agents may request verification of PayPal account ownership, a photocopy of the credit card used, one or more government-issued identification and authentication documents to match the name and address details provided during the Order process and/or to match Your payment and billing details on file. Failure to comply with such a request will result in non-acceptance of Your Order. Please note that Order verification and service provisioning may take anywhere between 15 minutes to 24 hours from the date and time the Order was originally received by Us. Upon the Acceptance Date, We will set up Your account, and you will then have the right to use the Ordered Services and, if applicable, initiate the transition process from your current provider (refer to Transfers/Accounts Migration below).

It is your responsibility to ensure that your contact information is accurate and up to date. We will use the primary email address registered with Us for all communications. During sign-up, You agree not to provide a contact email address that is yet to be activated or associated with your primary domain. The primary email provided will undergo verification, failure of which may lead to non-approval of Your Order or termination of Your account.

To ensure the receipt of all AlphaDog Hosting emails and prevent important communications from being missed, you must whitelist the @alphadoghosting.com domain and enable receipt of all emails sent by us in your email client software and/or any anti-spam filters you may employ and regularly check your “Spam” or “Junk” email folders for messages from AlphaDog Hosting.

AlphaDog Hosting accepts payments in USD, CAD, GBP, and Cryptocurrency. Customers using CAD billing must have a valid Canadian Billing/Mailing address registered. All customers with a Canadian address must agree to pay applicable taxes.

Continued use of Your Ordered Services is contingent on timely payment and compliance with all Terms of Service.

You are responsible for safeguarding and maintaining the security of the login credentials used to access Your Ordered Services on Our Sites at all times.

You agree not to contravene laws in Ontario, Canada, and other relevant jurisdictions when using the Ordered Services.

You are responsible for actions by Your users, and this responsibility persists after cancellation or termination of Your Ordered Services.

We reserve the right to impose usage limits. For cPanel Hosting customers, additional restrictions apply, including resource usage limits and prohibitions on specific activities such as running game servers or file-sharing/peer-to-peer activities.

For cPanel Hosting customers, the allocated disk space is designated solely for storing web files, active email, and content related to website service. Use of the allocated disk space as a storage container, including media, emails, or other data, is prohibited. AlphaDog Hosting explicitly reserves the right to review every hosting account under Your Ordered Services for excessive disk space usage to ensure compliance with these Terms of Service.

The total disk space advertised includes storing Operating System files and all necessary Software tools required for efficient management and security of Your Ordered Services.

Reselling Our Services is strictly prohibited unless You possess a Reseller Hosting account with Us (refer to ‘Resellers – cPanel Hosting’ section, below).

Backup and Restore:
We perform backups for Our Disaster Recovery purposes only and, as a courtesy, make those backups available to Our customers where applicable.

As a cPanel Hosting customer, You may perform a custom or ad-hoc backup using the cPanel built-in backup tool. Backups stored on Our servers count towards the allocated disk space for Your Ordered Services. Restoration of available backups can be done through Your cPanel control panel or by opening a support ticket for assistance.

We make no guarantees regarding the integrity or reliability of Our backups or the timing of a backup restore, although We will endeavour to do so within 24 hours of receiving Your request.

For all Ordered Services, Backups will not be provided for accounts that have been suspended or terminated unless agreed upon by AlphaDog Hosting (in such cases, We reserve the right to charge You any extra fees for account restoration).

Regardless of the Services You purchased, it is advised to back up Your own data. We are not responsible for any data residing under Your account. You agree to take full responsibility for all files/data stored under Your account and maintain Your own copy of local backup.

Support Ticket Procedure:
    • Sign in to Our Client Area at my.alphadoghosting.com and submit a ticket with sufficient details of Your request.
    • Visit Our website at alphadoghosting.com and submit a ticket with sufficient details of Your request.
    • Send Us an e-mail to support@alphadoghosting.com for technical issues, billing@alphadoghosting.com for billing matters, and sales@alphadoghosting.com for sales-related inquiries. For Technical and Billing issues, You must send the e-mail from Your primary registered and verified e-mail address on file with Us, with sufficient details of Your request. If You send an e-mail from a non-verified e-mail address to Our Technical Support and Billing Departments, Our agents have the right to discard it and/or advise You to sign in to Client Area/Support Portal to submit the request again, thus delaying the entire process.

If You have requested Us to obtain a domain name for You, the related amount stated in Your Order will be charged. We do not guarantee the availability of the requested domain name. You are responsible for the transfer, registration, and/or renewal or maintenance of all domain names used in connection with Your Offered Services.

We provide free Let’s Encrypt SSL certificates where applicable. You may request and pay Us to obtain a commercially available SSL certificate for You. We reserve the right to revoke or refuse an SSL certificate without prior notice and may provide an equivalent SSL certificate if the requested one is not available. We make no representations, warranties, or guarantees regarding such certificates and do not provide technical support services beyond the initial installation.

If You have requested Us to obtain a dedicated IP address for You, the related amount stated in Your Order will be charged. If an IP address assigned to Your Ordered Services becomes blacklisted or blocked, You will be charged a penalty/administration fee of US$50.

Upon cancellation of Your Ordered Services, You must return to AlphaDog Hosting all IP addresses issued by AlphaDog Hosting to You.

You must ensure that scripts/programs under Your Ordered Services are secure and that directories have proper permissions. You are ultimately responsible for all actions under Your account, including any compromise of credentials. It is imperative to use a secure password, and failure to do so may result in account suspension until a more secure password is adopted.

We reserve the right, with or without notice, to disable or delete any Scripts/Programs that send or receive large amounts of emails on Our network or servers. Continued email abuse may result in immediate suspension of Your account suspected of engaging in such activities.

Resellers – cPanel Hosting:
If you have established a cPanel ‘Reseller Hosting’ account with Us, you are herein referred to as a “Reseller”. In addition to the other Terms of Service, the following provisions apply to Your cPanel Hosting Service:

Reselling Our cPanel Hosting Service is permitted only through a Reseller account with Us. No other Service offered by Us may be resold by a Reseller.

As a Reseller, You assume all legal and financial obligations to Your customers and are accountable for all sub-accounts created under Your account. Our Services are provided to You, not directly to Your customers.

As a Reseller, You are legally responsible for all content stored or transmitted by Your customers and for all actions of Your customers, employees, agents, contractors, or other individuals with access to Your Ordered Services, as if such actions were undertaken by You directly.

You are responsible for monitoring all resold accounts or customers’ sub-accounts to ensure compliance with these Terms of Service.

You agree to indemnify AlphaDog Hosting against any losses and liabilities incurred by Us due to Your use of Your Ordered Services adversely affecting Your customers, resulting in a claim against Us.

The billing system license (WHMCS) provided by AlphaDog Hosting to cPanel Hosting Resellers is non-transferable and may only be used on servers owned and managed by AlphaDog Hosting. If We determine that a previously issued billing system license key has not been actively used or associated with any domain for more than 60 days from its original issuance date, We reserve the right to cancel the existing license key with or without prior notification. You may obtain a replacement WHMCS license key by contacting Us.

This section remains effective following any cancellation or termination of Your Ordered Services.

Transfers/Accounts Migration:
Our team will make reasonable efforts to assist You in migrating Your current services from other providers to Your Ordered Services with Us. However, We cannot guarantee the transfer process, and there may be circumstances where We are unable to assist in transferring Your data from Your previous provider.

For Our cPanel Hosting, the following conditions apply when requesting Us to perform accounts transfer/migration from Your old hosting provider to Our servers:

    1. To facilitate the transfer/migration of ALL Your cPanel accounts, You must provide Us with one of the following:

      • Request Your old provider to create a FULL Backup of ALL cPanel accounts owned by You and upload a single compressed file containing all individual cPanel account backup files.

      • Alternatively, You may upload ALL individual cPanel backup files to Our servers.

    1. FREE Reseller cPanel account transfers are only eligible if requested within 30 days of Your sign-up.

    2. If You choose to share login information with Us to access Your old provider’s server and take account backups on Your behalf, We are not liable for any consequences. You must ensure adequate free space on Your old provider’s account for necessary backups.

    3. If You cannot provide a FULL Backup of cPanel Account, Our support team can manually migrate Your website and emails for an additional fee determined by Our Sales and Billing team.

For all Ordered Services, You must submit the transfer request by opening a support ticket at least 48 hours before the desired start of the accounts transfer/migration process. This advance notice allows Us to plan and allocate internal resources for the migration tasks. Depending on the number of accounts and size of restores, migration can take 1 to 48 hours. You must keep Your old hosting service active until all transfer/migration steps are completed and verified by You.

For immediate assistance with accounts transfer/migration or priority requests, Our support team may accommodate Your urgent request for an additional one-time service fee determined by Our Billing Department.

Support:
Our Services encompass end-user support solely for Our direct customers. To avail of this support, adherence to the Support Ticket Procedure (outlined above) is mandatory; failure to comply will result in support being withheld.

AlphaDog Hosting reserves the right, at Our discretion, to delay or withhold end-user support if You are in violation of any Terms of Service, including non-payment of Fees.

While AlphaDog Hosting endeavours to meet internal SLAs for support services via Our ‘Live Chat’ system, Support Portal, or through the Support Ticket Procedure, no specific support ticket response or resolution time is guaranteed. However, We aim to provide an initial response within 1 hour of receiving a Support Ticket.

cPanel Hosting Resellers are accountable for providing direct support to their customers. AlphaDog Hosting does not offer direct support to Your customers. For security and privacy reasons, any support request received must originate directly from You, Our customer. You are responsible for the content and nature of any support replies provided to Your clients.

Scope of Support:
Support is exclusively provided in English.

You are expected to possess the necessary computer literacy and understanding of Internet concepts, including but not limited to domain names, email, file transfer protocols, DNS zones, etc.

Our support agents can assist with basic configuration and troubleshooting of commonly used email client software like Microsoft Outlook, as well as standard FTP software and cPanel/WHM connectivity.

You are solely responsible for the installation and configuration of any scripts/applications running under Your Ordered Services/account. Our support agents do not troubleshoot or provide support for malfunctioning scripts/applications. It is Your responsibility to maintain the latest versions of any scripts/applications installed.

We retain the right to determine the installation/upgrading/downgrading of software on Our servers, including LiteSpeed Web Server, MariaDB, PHP, etc. We also establish the version and configuration of all installed software. Therefore, We do not guarantee compatibility of Your own software (including custom or third-party scripts/applications) with the software and services running on Our servers.

Installing, configuring, and troubleshooting third-party applications falls outside the scope of support provided by AlphaDog Hosting.

Abuse of AlphaDog Hosting Staff, Support Personnel, and Support Ticket System:
AlphaDog Hosting prides itself on delivering exceptional customer service to all clients. We maintain a policy of treating clients with utmost respect and courtesy and expect reciprocal behaviour.

Should our staff encounter consistent abusive behaviour or disrespectful communication from you, including but not limited to rude or demeaning language, profanity, or insults based on personal characteristics, we reserve the right to suspend your account(s) and request you seek services elsewhere. Should service be terminated due to abusive conduct, clients will be provided with five (5) days’ notice to find an alternate web host. No refunds will be issued.

Abusive conduct includes, but is not limited to:

    • Repeatedly addressing staff in a disrespectful manner.
    • Using profanity in oral or written communications with staff via any medium, including email, instant messages, chat, text messaging, or social media.
    • Insulting staff based on personal characteristics such as race, ethnicity, national origin, sex, sexual orientation, or religion.
    • Opening multiple tickets for the same issue within a short period, constituting abuse of our support ticket system may lead to suspension or termination of services.

Promotional or Discount Coupon Codes:
Discount and coupon codes are applicable only to specified Service(s) as described in the respective AlphaDog Hosting promotion and cannot be applied to other services. These codes are valid only for the initial invoice and do not affect the renewal or recurring price of any service unless otherwise specified. Discounts applied after service purchase are not valid. Any downgrade, upgrade, or closure of a service to which a discount or coupon code was applied renders the associated discount null and void. These codes hold no cash value and may not be transferred or used for later purchases, downgrades, upgrades, or modifications. Combining multiple coupon codes or offers toward a single purchase is prohibited. Abuse of discount or coupon codes may result in account suspension, closure, or retroactive adjustment of charges. AlphaDog Hosting reserves the right to discontinue any discount code or promotion without notice, at any time, for any reason or without reason.

Termination/Cancellation, Refunds, Renewals, Fees and Payments:
All published Service fees on Our Sites exclude applicable taxes. Taxes imposed by a government entity on the Services will be added to invoices, unless You provide AlphaDog Hosting with a valid (as determined by Us) tax exemption certificate from a government authority.

The date format used in Our invoices and billing activities is YYYY-MM-DD.

Each Ordered Service by AlphaDog Hosting is provided on a billing cycle basis, as specified in Your Order. Commencing on Your Acceptance Date, it automatically renews for successive periods, until cancelled by You or AlphaDog Hosting. Service fees are payable in advance for the upcoming month, quarter, semi-annual, or annual period, as applicable.

You can cancel any Ordered Service at any time per these Terms of Service but won’t be entitled to a refund for partial months. If You prepaid for an Ordered Service at the annual rate and cancel before the renewal term ends, You may be entitled to a partial refund. If Your Ordered Service is eligible for Our 30-day money-back guarantee, You must explicitly request a refund via a billing ticket in addition to submitting a service cancellation request through Our Client Area.

For monthly payments, You authorize Us and Our payment agent to automatically charge, on the monthly anniversary of Your Acceptance Date, the credit card, debit card, or PayPal account on file, unless You cancel all Services. For annual payments, ‘monthly’ and ‘month’ references are considered ‘annually’ and ‘annual.’ If Your Acceptance Date falls on the 29th, 30th, or 31st day of a month without those dates, the billing day will be the 31st day after Your normal billing date.

You can only request cancellation or termination through Our “Client Area” site at my.alphadoghosting.com. Cancellation/termination must be at least 7 days before Your next invoice is due.

No refunds, money-back, or credits are provided for fees on domain registrations/renewals, SSL certificates, transfers, cPanel transfers, Custom Hosting, WHMCS licenses, cPanel/WHM licenses, and web services.

If Your account accumulates debt, We may pass details to a 3rd party debt collection company or sell Your debt. If sold, We may charge an administration fee up to US$100.

AlphaDog Hosting can terminate any account and Ordered Services at any time, for any reason, including a breach of these Terms of Service.

Late fees equal to 5% of the invoiced amount may be charged for overdue invoices by more than 5 days. All Services will be suspended if an invoice remains unpaid for more than 5 days. If unpaid for more than 30 days, Your account and Services will be terminated. Upon termination, all data, including backups, will be permanently deleted, and no domain release occurs without full payment.

For charge discrepancies, contact Our billing department. Charge-backs may incur a minimum $25.00 reactivation fee, and Your account may be suspended during dispute resolution.

This section remains in effect post-cancellation or termination.

Limited Conditional Money Back Guarantee for cPanel Hosting Customers:
Our cPanel Hosting Services include a limited conditional 30-day money-back guarantee starting from the Acceptance Date for the cPanel Hosting Service. After 30 days from Your Acceptance date, You are no longer eligible for this guarantee. You acknowledge that Your account usage or request for promotional items may affect the total refundable amount.

This money-back guarantee does not apply to fees for domain name registrations, transfers or renewals, commercially obtained SSL certificates, dedicated IP addresses, and any other optional add-ons, including fees for transfers/accounts migration or other professional services.

If You cancel within 30 days and Your plan includes a free domain, a non-refundable domain fee of $14.99 will be deducted from Your refund to cover Our costs and ensure retention of Your domain name. Note: Newly registered domains cannot be transferred to another registrar during the first 60 days of the registration period.

The Money Back Guarantee does not apply to Your Ordered Services if:

    • You have previously signed up for any Service and used the guarantee (or any predecessor thereof) in respect of any of those Services. For example, if You had an account with Us in the past, cancelled it, and then signed up again, or if You have opened a second account with Us, You will not be eligible for Our money-back guarantee.

    • You placed a cancellation request during the Money Back Guarantee period but did not explicitly request a refund via the cancellation request or by opening a ticket with Us.

    • You requested Us to do free transfers/accounts migration from Your old hosting provider to Our servers.

    • If You are a cPanel Hosting Reseller and have requested a free billing system (WHMCS) license from Us, then You will not be eligible for this guarantee.

    • You are in breach of any of these Terms of Service.

    • You initiated an invalid charge-back instead of following the cancellation procedure.

Cryptocurrency Payments:
Cryptocurrency payments are immediately converted to USD at the current Cryptocurrency rates. In the event of refunds for services paid in Cryptocurrencies, the refund will be issued as account credit in USD, less any gateway fees paid by AlphaDog Hosting on the initial transaction.

Upon payment with Cryptocurrency, You agree to this and understand that AlphaDog Hosting will not reimburse You for any potential loss in Cryptocurrency value.

Uptime Guarantee:
AlphaDog Hosting guarantees a 99.9% network uptime (determined on a calendar month basis) for its cPanel Hosting and Custom Hosting Services.

If We fail to maintain Our uptime guarantee, the following service level credits will be applied to Your account to be used as a credit toward Your future fees for the affected Service. These credits have no cash value and are not refundable. Service level credits apply only to Your then applicable base monthly fee for the related Service covered by this uptime guarantee, excluding any fees for billing system licenses, SSL certificates, IP addresses, domain names, website migration, professional services, and any other optional add-ons.

For cPanel Hosting (Shared or Reseller) the following credits apply to the guarantee:

99.9 – 100%0% credit
99.7 – 99.8%10% credit
99.5 – 99.6%25% credit
99.3 – 99.4%50% credit
99.0 – 99.2%75% credit
98.9% and below100% credit

Uptime Determination and Exclusions:
Our systems and monitoring tools are used to determine the uptime of Our Services, and We retain the final authority in determining actual availability/uptime. Your utilization of any monitoring tool will not be considered for any uptime guarantee claim.

Excluded from the uptime guarantee are network or server interruptions resulting from:

    • Regularly scheduled maintenance work;

    • Denial of service (DoS or DDoS) attacks, brute-force attacks, or third-party hacking of Our servers;

    • Infrastructure failure of Our upstream service providers;

    • Issues related to Your Internet connection;

    • Service suspension or termination due to billing-related issues;

    • Backbone peering point issues at Our data center;

    • Force majeure events or any other circumstances beyond Our reasonable control;

    • Software bugs or flaws;

    • Acts or omissions of Our customers.

In the event that Your Ordered Service is subjected to any type of DoS or DDoS attack, We retain the right to determine the duration of real-time DDoS mitigation/traffic scrubbing against such attacks. Additionally, at Our sole discretion, We reserve the right to null route one or more IP addresses associated with Your Ordered Services to mitigate large-scale DDoS attacks.

To submit a claim under the uptime guarantee, You must open an ‘uptime guarantee’ support ticket using the Support Ticket Procedure within 2 days of the end of the relevant month. Claims submitted after this 2-day deadline will not be eligible for the uptime guarantee.

Allowed/Disallowed Content on Our Servers:
In addition to and without limiting Our Acceptable Use Policy, prohibited materials on all of Our Services include:

    • Explicit Adult content (e.g., Pornography and/or Nudity)

    • Torrent sites

    • Pirated software

    • Warez

    • Image Hosting Scripts

    • Proxy Scripts/Anonymizers

    • IRC Scripts/Bots

    • IP Scanners

    • Bruteforce programs/scripts/applications

    • Banner-Ad services

    • Audio/Video streaming beyond permitted limits

    • Lottery Sites

    • Sale of any controlled substance without proper permits

    • Hacker-focused activities or sites/archives/programs

    • Forums and/or websites distributing or linking to warez/pirated/illegal content/hacking/cracking/key generators

    • Fraudulent sites

    • Sites promoting illegal activities

    • Mail Bombers/Spam Scripts

    • Hate sites

    • Game Servers

We reserve the right to refuse service to anyone at any time. Any material deemed unacceptable, obscene, or threatening will be prohibited and promptly removed from Our Servers/Network without notice.

In addition, AlphaDog Hosting maintains a ZERO TOLERANCE policy towards:

    • Potential harm to minors, including child pornography or content perceived to be child pornography. Hosting or linking to such content will result in immediate suspension or termination of Your account.

    • SPAM, including bulk e-mail activities. Accounts suspected of conducting such activities will be immediately suspended or terminated.

    • Phishing sites or content. Hosting such sites will lead to suspension or termination of Your Ordered Services.

    • Game Servers of any kind are prohibited under any of Your Ordered Services. We reserve the right to firewall and block common communication ports used by Game Servers and to suspend or terminate Your Ordered Services without prior notice.

Under all circumstances, We reserve the right to report any findings to the appropriate law enforcement agency and provide them with requested information about Your Ordered Services with Us, including Your data and/or personal contact information on file.

Outbound Mail (SMTP) Monitoring and Filtering:
To safeguard Our network from SPAM and bulk e-mail activities, We reserve the right to monitor SMTP (outbound e-mail) traffic and its origination source using third-party transparent mail proxy software. Abnormal outbound e-mail activity detected from Your Ordered Service may result in immediate traffic blocking or suspension of Your Ordered Services with or without prior notice.

“Unlimited Bandwidth” or “Unmetered Bandwidth” Fair Usage Policy:
AlphaDog Hosting may advertise some Services with “Unlimited or Unmetered Bandwidth.” This means We do not cap data transfer for legitimate visitor traffic to websites hosted under Your Ordered Services, provided You comply with Our Terms of Service. We only restrict access/bandwidth when an account negatively impacts Our servers/network performance, violating Our Terms of Service. Under most circumstances, appropriately using Our Services allows visitors to Your website to transfer content without limitations.

Disk Space and Bandwidth Usage:
You are allocated a monthly disk space and bandwidth allowance, varying by Your hosting plan. Should Your account exceed the allocated amount, We reserve the right to suspend the account until the next billing cycle, suspend the account until You upgrade to a higher package, or charge an additional fee for overages. Disk space overages are billed at $.50 per GB used, and bandwidth overages are billed at $.25 per GB used. Unused allocated amounts cannot be carried over to the next month. Exceeding Your limit within the first 30 days of service renders You ineligible for the 30-day money-back guarantee, and You are responsible for any overage charges.

Affiliate Program Agreement:
By submitting an application to join and/or by participating in Our affiliate program, You acknowledge that You have reviewed the Terms and Conditions outlined in this document and AlphaDog Hosting’s affiliate agreement available at https://www.alphadoghosting.com/affiliate-agreement and agree to be bound by these terms and conditions.

AlphaDog Hosting Disclaimers and Limitation of Liability:
EXCEPT AS EXPRESSLY PROVIDED IN THESE TERMS OF SERVICE, AlphaDog Hosting MAKES NO REPRESENTATION, WARRANTY, OR CONDITION OF ANY KIND, WHETHER EXPRESS OR IMPLIED, STATUTORY OR OTHERWISE, INCLUDING WITHOUT LIMITATION WARRANTIES OF UNINTERRUPTED OR ERROR-FREE SERVICE OR TRANSACTIONS, CONFIDENTIALITY, PRIVACY, SECURITY, MERCHANTABILITY, QUALITY, RELIABILITY, TITLE, NON-INFRINGEMENT, OR FITNESS FOR A PARTICULAR PURPOSE, OR THOSE ARISING OUT OF A COURSE OF DEALING OR USAGE OF TRADE.

IN NO EVENT WILL AlphaDog Hosting BE LIABLE FOR ANY INDIRECT, INCIDENTAL, OR CONSEQUENTIAL DAMAGES, INCLUDING BUT NOT LIMITED TO LOST PROFITS, LOST SAVINGS, LOSS OF USE, OR LACK OF AVAILABILITY OF RESOURCES OR FACILITIES INCLUDING COMPUTER RESOURCES, SERVERS (VIRTUAL OR OTHERWISE), AND STORED DATA, PUNITIVE, EXEMPLARY, AGGRAVATED, OR ECONOMIC DAMAGES, ARISING OUT OF THE PRODUCTS OR SERVICES PROVIDED BY AlphaDog Hosting OR OTHERWISE RELATED TO THE TERMS OF SERVICE, EVEN IF AlphaDog Hosting OR ANY OF ITS AGENTS, CONTRACTORS, OR EMPLOYEES HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES OR CLAIM.

IN NO CASE WILL AlphaDog Hosting’s TOTAL LIABILITY ARISING UNDER ANY CAUSE WHATSOEVER (INCLUDING WITHOUT LIMITATION BREACH OF CONTRACT, NEGLIGENCE, GROSS NEGLIGENCE, OR OTHERWISE) EXCEED UP TO ONE MONTH’S WORTH OF FEES ACTUALLY PAID BY YOU TO AlphaDog Hosting FOR THE SPECIFIC PRODUCT OR SERVICE TO WHICH THE CLAIM RELATES. IN NO EVENT WILL AlphaDog Hosting BE LIABLE TO YOU FOR DAMAGES OR LOSSES RESULTING FROM VIRUSES, TROJANS, MALWARE, HACKING, DATA CORRUPTION, FAILED MESSAGES, DAMAGES ARISING AS A RESULT OF TRANSMISSION ERRORS OR PROBLEMS, TELECOMMUNICATIONS SERVICE PROVIDERS, AlphaDog Hosting’s CONTRACTORS, THE INTERNET BACKBONE, THIRD-PARTY SUPPLIERS OF PRODUCTS OR SERVICES, DAMAGES OR LOSSES CAUSED BY YOU OR YOUR CUSTOMERS, OR YOUR CUSTOMERS’ RESPECTIVE EMPLOYEES, AGENTS, OR SUBCONTRACTORS, OR OTHER EVENTS BEYOND THE REASONABLE CONTROL OF AlphaDog Hosting.

FOR THE PURPOSES OF THIS AND THE IMMEDIATELY FOLLOWING SECTION, ‘AlphaDog Hosting’ SHALL INCLUDE AlphaDog Hosting’s AFFILIATES AND AlphaDog Hosting’s AND ITS AFFILIATES’ RESPECTIVE DIRECTORS, OFFICERS, EMPLOYEES, AGENTS, AND CONTRACTORS.

THIS SECTION SHALL SURVIVE ANY CANCELLATION OR TERMINATION OF YOUR ORDERED SERVICES.

Customer Indemnity:
Without limiting any other indemnity in the Terms of Service, You agree to defend, indemnify, save, and hold AlphaDog Hosting harmless from any and all demands, liabilities, losses, costs, and claims, including reasonable legal fees, asserted against AlphaDog Hosting that may arise or result from any service provided or performed or agreed to be provided or performed, or any product sold by, or any other action taken by, You or Your agents, employees, customers, or assigns using or otherwise in connection with Our Services, including, without limitation, any and all demands, liabilities, losses, costs, and claims arising out of: (i) bodily injury to any person or property caused by any products sold or otherwise distributed in connection with Your Ordered Services; (ii) any material supplied by You infringing or allegedly infringing on intellectual property rights of a third party, including without limitation, copyright, patent, or trademark infringement; and (iii) any defective products sold to customers using an Ordered Service.

THIS SECTION SHALL SURVIVE ANY CANCELLATION OR TERMINATION OF YOUR ORDERED SERVICES.

Changes:
AlphaDog Hosting reserves the right to modify the Terms of Service at any time. Modifications and additional terms and conditions will be effective immediately and incorporated into these Terms of Service. Your continued use of any AlphaDog Hosting Service will be deemed acceptance thereof.

General:
All fees for Services are exclusive of applicable taxes, which You agree to pay to AlphaDog Hosting, if applicable. AlphaDog Hosting takes no responsibility for any additional currency conversion charges or other charges incurred by You through PayPal, Your bank, or any other financial institution You deal with.

Any provision of the Terms of Service that is held to be invalid, illegal, or unenforceable by a court of competent jurisdiction shall, as to that jurisdiction, be ineffective to the extent of such prohibition or unenforceability and shall be severed from the balance of the Terms of Service, all without affecting the remaining provisions of the Terms of Service or affecting the validity, legality, or enforceability of such provision in any other jurisdiction.

Your Order together with the Terms of Service constitute the entire understanding and agreement between You and AlphaDog Hosting in connection with Your Ordered Services and supersede any and all prior and contemporaneous oral or written representations, communications, understandings, and agreements between You and Us with respect to the subject matter hereof.

By accepting these Terms of Service and placing an order with AlphaDog Hosting, you agree to allow the electronic exchange of information and documents between you and us over the Internet or via email. This includes communications sent to the primary email address you have provided to us and the email addresses specified for AlphaDog Hosting on its Sites. You acknowledge that these electronic exchanges, along with your order, constitute the legal equivalent of an original written paper agreement between you and AlphaDog Hosting.

AlphaDog Hosting and it’s Sites are located within the Province of Ontario, Canada. This Agreement will be governed by the laws of the Province of Ontario and the federal laws of Canada and shall be treated in all respects as an Ontario contract, without reference to the principles of conflicts of law. In the event of a dispute, You agree to binding arbitration in the City of Toronto in accordance with the provisions of the Arbitration Act 1991 (Ontario) to be handled by an arbitrator chosen by AlphaDog Hosting. We expressly exclude the UN Convention on Contracts for the International Sale of Goods and the Ontario International Sale of Goods Act as amended, replaced, or re-enacted from time to time. For greater certainty, You agree to waive any right You may have to commence or participate in any class action against AlphaDog Hosting related to the purchase or use of Your Ordered Services, the exchange of electronic documents between Us, or these Terms of Service and, where applicable, You also agree to opt out of any class proceedings against AlphaDog Hosting or its licensors.
